Terms of Service

Last Updated: November 2, 2026

1. Acceptance of Terms

1.1. These Terms of Service (“Terms”) govern your access to and use of the HeyLibro website at heylibro.com and the HeyLibro web application, including all pages and subdomains of heylibro.com (together, the “Service”). The Service is provided by CYTRIXLABS LTD, a private limited company incorporated in the Republic of Cyprus under registration number HE 498352, with its registered office at Kasandras 7, Flat/Office 101, Strovolos, 2021 Nicosia, Cyprus (the “Company”, “we”, “us”, “our”).
1.2. These Terms form a binding agreement between you (“you”) and the Company. You accept them when you create an account, start a free trial or Subscription, or otherwise use the Service. If you do not agree to these Terms, do not use the Service.
1.3. Our Privacy Policy explains how we process personal data when you use the Service. It is provided for your information and does not form part of these Terms.
1.4. In these Terms, “consumer” means an individual acting for purposes outside their trade, business, craft or profession. If you use the Service as a consumer, you benefit from the mandatory consumer protection rules of your country of residence. Nothing in these Terms limits those rights.
1.5. If we make the Service available through a mobile application or an app store, we will update these Terms before that version is released.
1.6. We may change these Terms as set out in Section 17.

2. Description of the Service

2.1. The Service provides access to summaries created by us that describe the key ideas, themes and information contained in books and other works (“Summaries”) and audio versions of these summaries (“Audio Content”), together referred to as “Generated Content”, and to related features such as synchronised reading and listening, saving your progress, recommendations based on the goals and interests you select, and reading reminders.
2.2. Generated Content is created by us with the help of artificial intelligence technologies, as described in Section 8.
2.3. As between you and the Company, the Company owns the Service and the Generated Content. The Company does not claim ownership of the books and other works that the Generated Content describes; rights in those works belong to their respective owners.
2.4. Generated Content is intended to introduce you to the key ideas of the works it describes and does not replace reading the full works. We encourage you to read the original works and support their authors.
2.5. Some Generated Content is available free of charge without a Subscription (the “Free Plan”). The scope of the Free Plan is shown in the Service and may change from time to time.
2.6. We may update, add or remove features of the Service. We will not make changes that materially reduce the main features of an active paid Subscription during the billing period you have paid for, unless the change is required by law or necessary for security reasons. If such a change becomes necessary, we will notify you in advance where possible, and you may terminate your Subscription free of charge within 30 days of receiving the information about the change, or of the change itself if later, and receive a pro-rata refund for the unused part of the paid period.
2.7. The Service is intended solely for personal, non-commercial use, unless otherwise expressly agreed with the Company in writing.
2.8. To use the Service, you need an internet connection and a current version of a common web browser.
2.9. The selection of works described in the Service may change at any time. We may add, update or remove individual Summaries, Audio Content or titles, and we do not guarantee that any particular title will remain available. The removal of individual titles does not constitute a change to the main features of your Subscription within the meaning of Section 2.6.

3. Eligibility

3.1. The Service is intended for individuals who are 18 years of age or older, or the age of majority under the laws of their jurisdiction, whichever is greater. By using the Service, you confirm that you meet this requirement.
3.2. By using the Service, you confirm that you are not prohibited from using it under applicable law, including trade restriction and sanctions laws.
3.3. We may refuse, suspend or terminate access to the Service in the cases set out in Section 16.

4. Account Registration

4.1. Access to certain features of the Service requires an account. You can sign in with a one-time code sent to your email address or with your Apple or Google account. When registering, you agree to provide accurate, current and complete information and to keep it up to date.
4.2. You are responsible for keeping secure the email account and the Apple or Google account you use to sign in, and for activity that occurs under your account. Do not share your one-time sign-in codes with anyone.
4.3. You agree to notify us promptly at support@heylibro.com of any unauthorised use of your account or other breach of security.
4.4. We are not liable for losses arising from unauthorised use of your account, except to the extent that such losses result from our failure to take reasonable security measures.
4.5. Each account is intended for use by a single individual. Accounts may not be shared, sold or transferred to third parties.
4.6. We may suspend or terminate an account in accordance with Section 16 if inaccurate information is provided or if we reasonably suspect unauthorised or otherwise improper use of the account, including the creation of multiple accounts to obtain free trials repeatedly.

5. Subscriptions, Trials, Billing, and Auto-Renewal

5.1. Access to the full Service requires a paid subscription (“Subscription”). We offer Subscriptions with different billing periods, for example one, three, six or twelve months. The price, the billing period, the renewal terms and the terms of any free trial are shown before you pay. Prices are shown in U.S. dollars. Where the law requires it, the prices shown include applicable taxes; otherwise, taxes may be added at checkout and are shown before you confirm your payment.
5.2. We may offer a free trial to new members. Free trials are available once per person within any 12-month period. The duration of the trial, the price that applies after it and the date of the first charge are shown before the trial begins. To determine whether you are eligible, we use the information described in Section 5 of our Privacy Policy. If you are not eligible for a free trial, your Subscription starts without a trial, at the price shown before payment. If you do not cancel before the trial ends, your paid Subscription begins automatically when the trial ends and the Subscription price is charged to your payment method. If you cancel during the trial, you will not be charged.
5.3. Your Subscription renews automatically at the end of each billing period for a further period of the same length, at the price then in effect, until you cancel it. The price for each period is charged to your payment method at the start of that period. Before you start a Subscription or a free trial, we ask for your express consent to these automatic renewal terms. After you subscribe, we send you a confirmation by email that sets out the Subscription terms and explains how to cancel. We also send you email reminders before renewals where required by applicable law, including before each renewal of a Subscription with a billing period longer than one month, and at least once a year for every Subscription.
5.4. We may change Subscription prices for valid reasons, such as changes in our costs, in taxes or in the scope of the Service. If a change affects your active Subscription, we will notify you by email 30 days before the new price takes effect. The new price applies from your first renewal after the notice period. If you do not agree to the new price, you can cancel your Subscription before it takes effect.
5.5. By providing a payment method, you confirm that you are authorised to use it and authorise us and our payment providers to charge it for all amounts due under these Terms, including recurring Subscription charges.
5.6. You may cancel your Subscription at any time online in your account settings or by contacting customer support. Cancellation takes effect at the end of the current paid period, and you keep access to the Service until then. If we present you with an offer when you cancel, you can still complete the cancellation immediately.
5.7. If a charge to your payment method cannot be processed, we may suspend your access to Subscription content until the payment issue is resolved.
5.8. Discounts and promotional prices apply only for the period stated in the offer. Before you accept an offer, we show you the regular price that will apply after the promotional period and when it will apply.
5.9. If you believe a charge is incorrect, please contact us first so that we can resolve it promptly. If you dispute a charge with your bank or card issuer, we may suspend your access to Subscription content while the dispute is pending. This does not affect any rights you have under applicable law to dispute a charge.

6. Refunds and Cancellations

6.1. Subscription payments become final and non-refundable once you have accessed Generated Content that is available only with a Subscription (by viewing, playback or listening) during the period covered by the payment, except as expressly provided in this Section or required by applicable law.
6.2. We may, at our discretion, provide a refund, discount or other compensation in circumstances not covered by this Section, including technical failures that prevent you from using the Service.
6.3. Cancellation of a Subscription under Section 5.6 stops future charges but does not entitle you to a refund for the period already paid for, except as provided in Sections 6.4.
6.4. Right of withdrawal. If you are a consumer and the law that applies to you gives you a right to withdraw from the contract within 14 days (as is the case in the EU and the UK), you may withdraw by sending us a clear statement, for example by email to support@heylibro.com, or by using the model form in Annex 1. We refund all payments received under the contract within 14 days of receiving your statement. Because access to Subscription content starts immediately, at checkout we ask for your consent to immediate access and your acknowledgement that the right of withdrawal ends once you access Subscription-only content after your first payment. We confirm this in the confirmation email described in Section 5.3.
6.5. Refunds are paid to the payment method used for the original payment. Nothing in this Section limits any rights you have under applicable consumer protection law that cannot be excluded by agreement, including your rights where the Service or the Generated Content does not conform to the contract.

7. License to Use the Content

7.1. Generated Content is licensed to you, not sold. Except for the limited license granted in Section 7.2, the Company and its licensors retain all rights in the Service and the Generated Content.
7.2. Subject to your compliance with these Terms and payment of applicable fees, the Company grants you a limited, non-exclusive, non-transferable and revocable license to access and use the Generated Content solely for personal, non-commercial purposes.
7.3. You may not:
a) reproduce, distribute, publicly perform, broadcast or otherwise make the Generated Content available to third parties;
b) sell, rent, sublicense, transfer or otherwise dispose of your rights under this license;
c) modify, adapt or create derivative works based on the Generated Content;
d) use the Generated Content to train machine learning or artificial intelligence models;
e) circumvent, disable or otherwise interfere with any technical protection measures of the Service;
f) use the Generated Content for commercial purposes without the Company’s prior written consent.
7.4. The license granted under this Section ends automatically if your account or Subscription is terminated or if you breach these Terms, without prejudice to Section 6.

8. AI-Generated Content Disclosure

8.1. Generated Content is created with the help of artificial intelligence technologies. Audio Content is narrated by synthetic voices generated with artificial intelligence. Generated Content is prepared in advance and is the same for all users. Your personal data is not used to create Generated Content.
8.2. Generated Content may contain inaccuracies or simplifications and may not fully reflect the content, style or views of the authors of the works it describes.
8.3. To the extent permitted by applicable law, we do not warrant the completeness, accuracy or reliability of the Generated Content and are not liable for decisions you make based on it.
8.4. Generated Content does not constitute professional advice, whether legal, financial, medical, psychological, educational or otherwise, and should not be treated as such, even if the work it describes relates to such a field. Consult a qualified professional before making decisions about your health, finances or other important matters.
8.5. Generated Content is intended to introduce you to the key ideas of the works it describes and does not replace the full versions of those works.

9. Intellectual Property Rights

9.1. The Service, including its software, design, interface, trademarks, logos, Generated Content and other elements, is owned by the Company or its licensors and is protected by intellectual property laws.
9.2. You may not use the Company’s names, logos or trademarks without our prior written consent.
9.3. If you send us feedback, suggestions or other ideas about the Service (“Feedback”), you grant the Company a worldwide, royalty-free, perpetual and irrevocable right to use and sublicense the Feedback for any purpose, without any obligation to you.
9.4. Rights in the books and other works described in the Generated Content belong to their respective owners. Titles, author names and other third-party names and marks are used in the Service only to identify the works described. Such use does not imply any affiliation with, or endorsement by, the authors, publishers or other rights holders.

10. User Conduct

10.1. When using the Service, you agree not to:
a) violate applicable law or the rights of third parties;
b) copy, distribute, reproduce or otherwise make the Generated Content available to third parties in violation of Section 7;
c) use the Service to create a product or service that competes with the Service;
d) reverse engineer, decompile or disassemble the software of the Service, except as expressly permitted by applicable law;
e) use automated means, including bots, scrapers and crawlers, to access the Service or extract content from it without our prior written consent;
f) circumvent, disable or otherwise interfere with the security features of the Service or the restrictions on Subscription use;
g) create multiple accounts or use different email addresses to obtain free trials repeatedly;
h) impersonate any person or otherwise misrepresent your affiliation with any person or entity;
i) upload malicious software or other code designed to disrupt the operation of the Service;
j) use the Service in a manner that imposes an unreasonable burden on our infrastructure.
10.2. We may, but are not obliged to, monitor use of the Service for compliance with this Section, in accordance with our Privacy Policy.
10.3. A breach of this Section may lead to suspension or termination of your access to the Service in accordance with Section 16.

11. Third-Party Services

11.1. To provide the Service, we use third-party technologies and services, including providers of artificial intelligence technologies, payment processors and cloud infrastructure.
11.2. We do not transfer your personal data to providers of artificial intelligence technologies. Generated Content is created in advance and is the same for all users, as described in our Privacy Policy. If this changes, we will update the Privacy Policy and, where required, obtain the necessary consent before any such transfer.
11.3. The Service may contain links to third-party websites or resources. We do not control them and are not responsible for their content, privacy practices or policies.
11.4. Your use of third-party services available through or connected to the Service, such as Apple or Google sign-in, is governed by the terms of the relevant third party.

12. Disclaimer of Warranties

12.1. To the maximum extent permitted by applicable law, the Service and the Generated Content are provided “as is” and “as available”, without warranties of any kind, whether express or implied.
12.2. To the maximum extent permitted by applicable law, we do not warrant that the Service will meet your requirements or will be uninterrupted, timely, secure or error-free, or that the results of using the Service will be accurate or reliable.
12.3. To the maximum extent permitted by applicable law, we disclaim all implied warranties, including the implied warranties of merchantability, fitness for a particular purpose and non-infringement.
12.4. Nothing in this Section limits any warranty or right that cannot be excluded or limited under applicable law, including your statutory rights where the Service or the Generated Content does not conform to the contract.

13. Limitation of Liability

13.1. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud, for gross negligence or wilful misconduct, or for any other liability that cannot be excluded or limited under applicable law.
13.2. Subject to Section 13.1, and to the maximum extent permitted by applicable law, the Company and its officers, employees and contractors are not liable for any indirect, incidental, special, punitive or consequential damages, including loss of profits, loss of data or damage to reputation, arising out of or related to your use of, or inability to use, the Service, whatever the legal theory of liability.
13.3. Subject to Section 13.1, and to the maximum extent permitted by applicable law, our total liability for all claims relating to these Terms or the Service will not exceed the greater of (a) the amounts you paid us for the Service in the twelve months before the event giving rise to the claim and (b) USD 100.
13.4. The limitations in this Section apply even if we have been advised of the possibility of such damages and even if a limited remedy fails of its essential purpose.
13.5. Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain damages, so some of the limitations in Sections 12 and 13 may not apply to you. If you are a resident of New Jersey, Sections 12, 13 and 14 apply only to the extent permitted by New Jersey law.

14. Indemnification

14.1. To the extent permitted by applicable law, you agree to indemnify the Company and its officers, employees and contractors against third-party claims, and the related losses, costs and reasonable legal fees, arising out of:
a) your use of the Service in violation of these Terms or applicable law;
b) materials you submit, including messages to customer support and Feedback, that infringe the rights of third parties or violate applicable law;
c) your commercial use of the Generated Content in violation of Section 7.
14.2. If you are a consumer, this Section applies only to the extent permitted by the law of your country of residence.

15. Governing Law and Dispute Resolution

15.1. These Terms are governed by the laws of the Republic of Cyprus, without regard to their conflict of law rules. If you are a consumer, you also benefit from the mandatory provisions of the law of your country of residence.
15.2. The courts of the Republic of Cyprus have jurisdiction over any dispute arising out of these Terms or the Service. If you are a consumer, you may also bring proceedings in the courts of your place of residence where the law gives you that right.
15.3. Before starting court proceedings, you and we agree to try to resolve any dispute informally. The party raising the dispute must first send the other party a written notice describing the dispute and the relief sought. Notices to us must be sent to support@heylibro.com with the subject line “Notice of Dispute”; notices to you will be sent to the email address associated with your account. If the dispute is not resolved within 30 days after the notice is received, either party may start court proceedings. To the extent permitted by applicable law, any limitation period is suspended during these 30 days.
15.4. Section 15.3 does not prevent either party from seeking urgent interim relief from a court, and it does not apply to the extent it would restrict a right you have under mandatory law to bring proceedings without first following this procedure.

16. Term and Termination

16.1. These Terms take effect when you first use the Service and remain in effect for as long as you use the Service or have an account.
16.2. You may stop using the Service and delete your account at any time in your account settings or by contacting customer support. If you delete your account, any active Subscription is cancelled at the same time and no further charges are made. Refunds are governed by Section 6.
16.3. We may suspend or terminate your access to the Service, in whole or in part, if:
a) you breach these Terms;
b) you provided inaccurate information during registration;
c) your conduct creates a risk to the Company, other users or third parties, including through fraudulent payment disputes or misuse of free trials; or
d) we are required to do so by applicable law or by a competent authority.
16.4. We will tell you the reason for a suspension or termination under Section 16.3, unless the law prohibits it or doing so would compromise security or an investigation. Where possible and appropriate, we will give you an opportunity to remedy the breach first. If we terminate your Subscription for reasons other than your breach of these Terms, we will refund the unused part of any prepaid period.
16.5. When these Terms or your account end for any reason, the license granted under Section 7 ends, as does your access to the Service and the Generated Content.
16.6. Provisions that by their nature should survive termination, including Sections 7.3, 9, 12, 13, 14 and 15, survive termination of these Terms.
16.7. Termination does not relieve you of payment obligations that arose before termination.

17. Changes to These Terms

17.1. We may change these Terms for valid reasons, such as changes to the Service, to our business, to applicable law or to security requirements.
17.2. If we make material changes, we will notify you at least 30 days before they take effect, by email or through the Service. Changes required by law or necessary for security may take effect sooner. For paid Subscriptions, material changes apply from your first renewal after they take effect.
17.3. If you do not agree to the changes, you may cancel your Subscription and stop using the Service before the changes take effect. If you continue to use the Service after that date, the updated Terms apply to you.
17.4. The current version of these Terms is always available at heylibro.com/terms. Previous versions are available on request.

18. Contact Information and Notices

18.1. The Service is provided by CYTRIXLABS LTD, registration number HE 498352, Kasandras 7, Flat/Office 101, Strovolos, 2021 Nicosia, Cyprus.

18.3. You agree that we may send you notices, confirmations and other communications relating to the Service and your Subscription electronically, by email or through the Service, and that such communications satisfy any legal requirement that they be in writing. Notices to us must be sent to support@heylibro.com.
18.4. We send marketing communications, such as offers and recommendations of new content, only with your consent. You can withdraw your consent at any time as described in our Privacy Policy.

19. Miscellaneous

19.1. These Terms, together with any additional terms shown to you when you purchase a Subscription or accept an offer, constitute the entire agreement between you and the Company regarding the Service and supersede all prior agreements on this subject.
19.2. If any provision of these Terms is found to be unlawful, void or unenforceable, that provision is severable and does not affect the validity and enforceability of the remaining provisions.
19.3. Our failure to exercise or enforce any right under these Terms does not constitute a waiver of that right.
19.4. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms, including in connection with a reorganisation, merger or sale of our business, provided that this does not reduce your rights under these Terms.
19.5. We are not liable for any failure or delay in performing our obligations caused by circumstances beyond our reasonable control.
19.6. No joint venture, partnership, employment or agency relationship is created between you and the Company by these Terms or your use of the Service.
19.7. Section headings are for convenience only and do not affect the interpretation of these Terms.
19.8. These Terms are written in English. If we provide a translation, the English version prevails in case of any inconsistency, unless the law of your country of residence requires otherwise.
